1. Professional Relationship
The relationship between Positive Qualities Ltd (“we”, “us”, or “our”) and the client (“you” or “your”) is strictly professional. All services and digital products are provided in accordance with these Terms and Conditions.
2. Confidentiality
All information obtained in the course of providing our services or digital products is treated as strictly confidential and will not be disclosed to third parties without prior written consent, unless required by law.
3. Scope of Work and Digital Deliverables
Projects and consultancy work are confined to the details set out in the approved proposal or agreement. For digital products (including downloads, templates, e-learning materials, and online content), access and usage rights are defined at the point of purchase.
4. Fees and Payment Terms
1) New clients: 50% of the total project fee is payable in advance of the project start date.
2) Consultancy and preparatory work: Invoiced monthly in arrears or as otherwise agreed.
3) Digital products: Full payment is required at the time of purchase. Access to digital products is granted only upon successful payment.
4) Expenses: Invoiced monthly where applicable (e.g. travel, accommodation, materials).
All invoices are due for settlement upon receipt unless otherwise stated in writing.
5. Cancellations and Postponements (Consultancy and Training)
If a client cancels or postpones a project after confirmation, the following charges apply:
- 100% of all preparatory work already undertaken;
- 100% of the total fee if cancelled/postponed within 5 working days of the start date;
- 50% of the total fee if cancelled/postponed within 1 month of the start date.
Digital products are non-refundable once downloaded or accessed, in line with the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, unless proven faulty.
6. Client Responsibilities (In-Person Services)
When sessions are delivered on a client’s premises or agreed venue, the client is responsible for:
- arranging staff attendance;
- providing suitable facilities, equipment, and materials; and
- ensuring our consultants have access to required office services.
7. Session Capacity
Due to the interactive nature of our programmes, a maximum of fifteen delegates may attend each session unless otherwise agreed in writing.
8. Intellectual Property and Digital Content
All content, including consultancy materials, training programmes, and digital downloads, remains the intellectual property of Positive Qualities Ltd. Purchase of digital products grants you a non-exclusive, non-transferable licence for personal or internal business use only. Redistribution, resale, or modification is strictly prohibited without our written permission.
9. Licensed Use by Internal Resources
If training or consultancy content is to be delivered internally by your staff, a separate licence agreement must be arranged to include:
- development and accreditation of internal facilitators; and
- ongoing quality assurance by Positive Qualities Ltd.
Additional licensing fees apply on a per-project basis.
10. Project Liaison
When consultancy or training is delivered on your premises, a designated point of contact must be appointed to liaise with our consultants for the duration of the engagement.
11. VAT and Expenses
All figures quoted exclude VAT. Expenses may include travel (business class where applicable), accommodation, materials, and any specialist equipment required for the project.
12. Liability
We shall not be liable for any indirect or consequential loss arising from the use of our services or digital products. Our total liability shall not exceed the amount paid by you for the specific service or product giving rise to the claim.
13. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Scotland, and both parties agree to the exclusive jurisdiction of the Scottish courts.
14. Digital Products via PQ WOW System
All digital products and online services made available through our digital platform, PQ WOW System (www.pqwowsystem.com), are covered under these Terms and Conditions. Purchases made through the PQ WOW System are governed by the same confidentiality, payment, licensing, and intellectual property provisions outlined above. Users of the PQ WOW System must also adhere to any specific terms of use or licence agreements presented on that platform.
